MISSY TEKSTIL company caters to fashion professionals and aims to bring together wholesalers (hereinafter, ‘Wholesalers-sellers’) and ready-to-wear retailers (hereinafter, « Buyers »).

2 purpose and scope of application of the present General Conditions of use and sale
These terms of use and sale are intended to inform buyers about the terms and conditions in which the company MISSY TEKSTIL shall carry out the sale of items on the Site and the delivery of the ordered Articles (hereinafter, ‘General Conditions’).
General Conditions shall apply, without restriction nor reserves to the total sales of the items offered on the Site.
Accordingly, for the retailer-buyer order an item offered for sale on the Site wins full and whole acceptance of the General Conditions which the retailer-buyer admits having taken knowledge prior to its command.
The term user means any seagoing person on the Site, whether buyers, wholesalers-sellers or any other Internet user visiting the pages of the Site accessible to the public (hereinafter, « users »).
3. Purchase of Articles on the Site
Access to the buyer account is exclusively for the professionals legally able to subscribe contracts in french law.
The opening of the account is free and without obligation to purchase on the Site.
MISSY TEKSTIL reserves the right to refuse any person who does not fulfil the eligibility criteria.
3.1 registration on the website of retailers – buyers
To access the features of the Site, the retailer-buyer must register on the Site via the icon ‘Create an account’ contained in the top right of the homepage of the Site.
A form appears on which the retailer-buyer must fill in the following information:
name of the company
Siret No. or intra-Community VAT number
E mail
password
first and last name of the primary contact
areas of activities
phone number
Once registered registration request, the retailer-buyer is contacted by MISSY TEKSTIL which reserves the possibility of seeking additional information.
If the retailer-buyer does not meet the eligibility criteria, it is then informed that his application was rejected.
Otherwise, a confirmation of account activation is sent to the retailer-buyer new via the email address filled in. It summarizes his address email (login) and password so the new retailer-buyer can connect to his account later.
The registered retailer-buyer is only allowed to use his account using the ID and password created when registering on the Site.
This information, which the retailer-buyer remains responsible, will be required at each logon and must in no case be communicated by the retailer-buyer to a third party or used by a third party.
Retailer-buyer undertakes to not use account other than the account initially created by him, whether in its own identity or that of third parties.
Retailer-buyer undertakes not to complete the form with contact details or fanciful and/or erroneous information.
Retailer-buyer undertakes to inform MISSY TEKSTIL of any fraudulent use by a third party of his account, as soon as it is aware.
In the event that the retailer-buyer provides false, incomplete information or in violation of the provisions of this article, MISSY TEKSTIL will be entitled to suspend or terminate the account of the retailer-buyer without delay and deny him immediately and in the future access to any part of the services offered by the Site.
3.2. management and use of the account by the retailer-buyer
Once registered on the Site, each retailer-buyer has access to a private allowing:

3.3. ordering on the Site
The procedure of ordering on the Site involves the following steps:
Retailer-buyer selects the site one or more Articles by clicking on the « Add to cart » icon, the selected item is added to the shopping cart.
a confirmation window allows the retailer-buyer to determine the quantity of items they wish to buy, he can then choose to continue shopping or finalise its order;
Once his selection has been completed, the retailer-buyer visualizes his shopping cart and declares to accept the General Conditions by clicking on the box « I have read and accepted the general terms ‘;
Retailer-buyer enters the delivery and billing address and choose a delivery mode;
Retailer-buyer visualizes the information entered and the summary of its order and validates the command;
Retailer-buyer finalizes his order by filling his bank account;
by clicking on the icon « Confirm order », the retailer-buyer conducts the final validation of the order.

MISSY TEKSTIL cannot be responsible for incorrect information provided by the retailer-buyer, either at the time of its registration on the website or when ordering.
3.3.1 availability of blogs
The offers presented on the Site are valid as long as they are visible on the Site and within the limit of stocks available.
Indications related to the availability of the items come from our stocks.
In case of unavailability of the items ordered after placing the order:
Retailer-buyer will be informed as soon as possible by e-mail;
Retailer-buyer will have the option to request:
the repayment of the sums corresponding to the amount of the unavailable item;
the replacement of items equal to the amount of (in vendor wholesaler owner of the goods).
3.3.2 delivery
The delivery can make once the order is validated by the retailer-buyer and payment actually received by MISSY TEKSTIL.
The Site offers three methods of delivery of items ordered:
by post (Coli post) to the address indicated on the summary of the order;
by a carrier proposed by MISSY TEKSTIL or a carrier chosen by the retailer-buyer;
by direct removal wholesaler-retailer.
Once the package has been entrusted to the carrier by the wholesaler-seller, only such carrier is responsible. MISSY TEKSTIL responsibility cannot be called into question during the transport of the package.
3.3.3 claims
Upon delivery of the order, the retailer-buyer is required to check the status of the package.
In the event of anomaly on the package (damaged parcel, open,…), retailer – buyer shall:
Refuse the delivery immediately issuing a statement of fault;
and report the damage or shortcomings noted to the wholesaler-seller by recorded delivery within a period of three (3) days from the receipt of the order;
Fault on the ordered Articles (Articles missing, damaged, lack of conformity…) retailer-buyer must report the damage or shortcomings noted in MISSY TEKSTIL by e-mail paris@missy.com.tr or regular mail within a period of three (3) days from the receipt of the order.
In any case, the retailer-buyer shall return the items damaged in the wholesaler-seller in accordance with the procedure described in section 3.3.4. «Back to Articles»
In the case where the claim is considered by the wholesaler-seller as being founded, this proceed expeditiously to the Exchange or reimbursement of the damaged items and/or delivery of the missing item.
Any anomaly resulting from a blunder or a false manoeuvre by the retailer-buyer can be attributed to the wholesaler-seller.
If the claim procedure, the retailer-buyer will be entitled to no Exchange or refund.
3.3.4 return of blogs
In application of article 3.3.3. « Claims », items can be returned by the buyer retailer to the wholesaler-seller.
Articles should be accompanied by the document attached to the delivery. Returns without summary mail will not be accepted.
Items will be returned to MISSY TEKSTIL 70 Av. Victor Hugo 93300 AUBERVILLIERS, depending on the mode of transport chosen by the latter, to the address indicated on the document attached to the delivery within a period of eight (8) days from delivery.
Return costs and risks related to the return of the items will be the responsibility of vendor wholesaler, carrier or mail, as the case may be.
3.3.5 price of blogs
Sale prices are indicated in euros, excluding taxes and participation in delivery costs.
At the time of the order, delivery charges are calculated approximately according to weight, size of package, its destination and the shipping method chosen by the retailer-buyer.
It is expressly agreed that the sale price of the Article is contained on his card and for this Article this award supersedes all other prices which may appear on the Site.
3.3.6 terms of payment
Purchases are made online by credit card, being specified that the bank cards accepted by MISSY TEKSTIL are French and following European: CB – VISA – MASTERCARD.
MISSY TEKSTIL uses a secure payment tool and therefore never access to the banking information from buyers. The retailer-buyer on each order fill your bank account details.
MISSY TEKSTIL reserves the right to suspend or cancel any execution of a command and/or delivery, regardless of its nature and level of execution, in the event of default of payment or partial payment of any amount that would be due by the retailer-buyer, incident of payment or in case of fraud or attempted fraud relating to use of the Site including on the occasion of previous orders.

These terms and Conditions are subject to french law.
Any dispute or litigation relating to the existence, interpretation or execution of these General Conditions will be, failing amicable agreement, the exclusive jurisdiction of the french courts.
